Terms of Service
1. Who These Terms Apply To
These Terms of Service ("Terms") are a legal agreement between you (either as an individual or on behalf of a company) and SaddleUp Inc., a Delaware C-Corp ("TURN," "we," "us," or "our"), regarding your use of the TURN platform, including our website at turnapts.com and any related software, applications, and services (collectively, the "Service").
By accessing or using the Service, you confirm that you are at least 18 years old, that you have the authority to bind any entity on whose behalf you are acting, and that you agree to these Terms.
2. Pilot Access and Subscriptions
TURN is currently offered on a pilot basis to select users. Pilot access is provided without a subscription fee unless otherwise agreed in writing. We may transition the Service to a paid subscription model in the future, at which point we will provide advance notice to active users.
If and when subscription fees apply, pricing, billing frequency, and payment terms will be communicated separately. Continued use of the Service after that transition constitutes acceptance of the applicable pricing terms.
3. Your Account
To access the Service, you may be required to create an account. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. You agree to notify us immediately at notifications@turnapts.com if you suspect unauthorized access.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk to the platform or its users.
4. Acceptable Use
You agree to use the Service only for lawful, legitimate business purposes related to property management and apartment unit make-ready coordination. You agree not to:
- Use the Service to violate any applicable law or regulation
- Upload, transmit, or store content that is illegal, fraudulent, defamatory, or harmful
- Attempt to gain unauthorized access to any part of the Service or its infrastructure
- Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service
- Use automated tools (bots, scrapers) to access or extract data from the Service without our written consent
- Interfere with or disrupt the integrity or performance of the Service
- Resell, sublicense, or otherwise make the Service available to third parties without our prior written consent
- Use the Service in any manner that could harm TURN or its users
5. Your Data and Content
You retain ownership of all data, content, and records you upload or create within the Service ("Your Content"). By using the Service, you grant TURN a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing the Service to you.
You are responsible for ensuring that Your Content does not infringe the rights of third parties and complies with all applicable laws. TURN does not claim ownership of Your Content and will not use it for any purpose other than operating and improving the Service.
6. Intellectual Property
TURN and all of its underlying technology, software, design, branding, and content (excluding Your Content) are owned by SaddleUp Inc. and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use TURN's trademarks, logos, or proprietary technology outside of the Service itself.
Any feedback, suggestions, or ideas you submit about the Service may be used by us without any obligation to you.
7. Third-Party Integrations
The Service may integrate with third-party property management platforms (such as Yardi, AppFolio, Rent Manager, and RealPage). These integrations are provided for your convenience. Your use of any third-party service is governed by that service's own terms and privacy policy. TURN is not responsible for the practices or availability of third-party services.
8. Uptime and Service Availability
We work to keep TURN available and reliable, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, technical issues, or circumstances outside our control. We will make reasonable efforts to notify users of planned downtime in advance.
TURN is provided "as is" and "as available." We make no warranties — express or implied — regarding the reliability, accuracy, or fitness of the Service for any particular purpose.
9. Limitation of Liability
To the fullest extent permitted by applicable law, SaddleUp Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service — including but not limited to lost profits, lost data, or operational disruption — even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the greater of (a) the total fees you paid to TURN in the twelve months preceding the claim, or (b) one hundred US dollars ($100).
Some jurisdictions do not allow limitations on implied warranties or incidental damages, so some of the above limitations may not apply to you.
10. Indemnification
You agree to defend, indemnify, and hold harmless SaddleUp Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any applicable law or the rights of a third party.
11. Termination
You may stop using the Service at any time. We reserve the right to suspend or terminate your access to the Service at our discretion, including if you violate these Terms. Upon termination, your right to access the Service will cease. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will remain in effect.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Delaware.
Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes informally by contacting notifications@turnapts.com.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the effective date at the top of this page. If changes are material, we will provide notice via email or a prominent notice within the Service. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the changes.
